Terms of Service

1. Introduction

These terms of service ("Terms") govern your use of the services provided by Qubit Solutions Ltd ("we", "us", "our"), a company registered in England & Wales. By engaging our services or using our software products, you agree to be bound by these Terms.

2. Services

We provide the following services:

  • SaaS Products — software-as-a-service applications provided on a subscription basis. Specific terms for each product may be provided separately.
  • IT & Software Engineering Consultancy — professional services including technical strategy, architecture reviews, software development, and team augmentation. Consultancy engagements are governed by individual statements of work agreed in writing.

3. Payment Terms

Payment terms are as follows:

  • SaaS subscriptions are billed in advance on a monthly or annual basis, as specified at the time of purchase. All prices are quoted in GBP unless otherwise stated.
  • Consultancy services are billed as agreed in the relevant statement of work, typically on a time-and-materials or fixed-price basis. Invoices are payable within 30 days of issue.
  • Payments are processed securely via Stripe. By making a payment, you also agree to Stripe's terms of service.

4. Refund & Cancellation Policy

SaaS Products: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. If you cancel within 14 days of your initial purchase and have not made substantial use of the service, you may request a full refund.

Consultancy Services: Cancellation terms are specified in the relevant statement of work. Where no specific terms are agreed, either party may terminate the engagement with 30 days' written notice. Work completed up to the date of termination will be invoiced and is payable.

5. Intellectual Property

All intellectual property rights in our SaaS products remain with Qubit Solutions Ltd. You are granted a limited, non-exclusive licence to use the software for the duration of your subscription.

For consultancy work, intellectual property ownership will be defined in the relevant statement of work. Unless otherwise agreed, intellectual property in bespoke work created for a client is assigned to the client upon full payment.

6. Limitation of Liability

To the maximum extent permitted by law, Qubit Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly.

Our total liability in respect of any claim shall not exceed the amount paid by you to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.

9. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. For SaaS subscribers, we will provide reasonable notice of any material changes.
